These Terms of Use (“Terms”) govern your access to and use of QRPay.
By accessing or using QRPay, you agree to be bound by these Terms.
If you do not agree, you must not use the service.
1. About QRPay
QRPay is a New Zealand–based digital payments platform that enables merchants
to accept payments via QR codes.
QRPay provides the technology platform only.
All payments are processed by third-party payment providers, including Stripe.
2. Eligibility
- You must be at least 18 years old to use QRPay.
- You must provide accurate and complete information when registering.
- You may use QRPay as an individual or as a registered business.
3. Merchant Accounts
To accept payments, merchants must create a QRPay account and complete onboarding
with Stripe.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must ensure your information remains accurate and up to date.
4. Payments and Stripe
QRPay uses Stripe to process all payments.
- QRPay does not store or process card details.
- Stripe’s terms and policies apply to all payments.
- QRPay is not responsible for Stripe service outages or delays.

5. Fees
QRPay may charge platform fees in addition to Stripe’s processing fees.
- Fees will be disclosed within the platform or agreed separately.
- Fees are deducted automatically where applicable.
- Stripe fees are charged independently by Stripe.
6. Refunds and Disputes
- Merchants are responsible for handling refunds and disputes.
- QRPay may provide tools to initiate refunds but does not make refund decisions.
- Chargebacks and disputes are managed through Stripe.
7. Prohibited Use
You must not use QRPay for:
- Illegal or fraudulent activity
- Prohibited or restricted goods or services
- Money laundering or financial crime
- Abuse, misuse, or interference with the platform
8. Dummy and Pending Merchants
QRPay may allow the creation of temporary, dummy, or pending merchant accounts
for testing or pre-onboarding purposes.
- No payouts will occur until Stripe onboarding is complete.
- QRPay may suspend or remove inactive or non-compliant accounts.
9. Availability and Changes
QRPay may update, modify, suspend, or discontinue any part of the service
at any time.
We do not guarantee uninterrupted availability.
10. Limitation of Liability
To the maximum extent permitted by law, QRPay is not liable for:
- Indirect or consequential losses
- Loss of profits, revenue, or data
- Third-party service failures (including Stripe)
11. Privacy
Our collection and use of personal information is governed by our
Privacy Policy.
12. Governing Law
These Terms are governed by the laws of New Zealand.
Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
